General Terms & Conditions

1. Assignment

1.1 KVL Design undertakes to provide interior design services as described in the provided project proposal.

1.2 The Client undertakes to provide the necessary information in a timely manner, communicate clearly and promptly, provide feedback during the scheduled presentation moments and fulfill all payment obligations as described in the project proposal and these General Terms & Conditions.
 

2. Validity and course of the design process

2.1 The design process is officially confirmed upon approval of the project proposal, agreement to these General Terms & Conditions and receipt of the initial payment. From that moment, the collaboration remains in effect for the duration of the design process as described in the project proposal and these General Terms & Conditions, unless otherwise agreed in writing.

2.2 KVL Design reserves the right to temporarily suspend or terminate the agreement in the event of outstanding payments, a serious breach of the agreed arrangements or insufficient cooperation from the Client.

2.3 Neither party shall be held liable for delays or the inability to carry out work as a result of force majeure, including but not limited to illness, strikes, supply problems, government measures or delays involving external parties.

2.4 The planning included in the project proposal is indicative and depends on timely communication, feedback, any changes within the design process and the general progress of the assignment. KVL Design cannot be held liable for delays, changes or shortcomings caused by external parties.

2.5 Each project proposal is valid for 14 calendar days from the date of receipt, unless otherwise stated in the project proposal.
 

3. Payments

3.1 The Client undertakes to pay the total project fee according to the payment structure specified in the applicable project proposal.

3.2 In the event of late payment, KVL Design reserves the right to charge statutory interest and reasonable administrative costs. If a payment remains outstanding for more than 14 calendar days, KVL Design may temporarily suspend the work until the outstanding amount has been paid in full.

3.3 The initial payment secures the project booking and covers the preparation, planning and commencement of the design process. Where the Client has requested that KVL Design commence the work before any applicable statutory withdrawal period has expired, the Client may be charged for work already performed and costs incurred in accordance with applicable law. The initial payment is not refundable to the extent that it relates to services already performed or costs already incurred, subject to applicable statutory rights.

3.4 KVL Design will commence the work according to the planning included in the project proposal following approval of the project proposal, agreement to these General Terms & Conditions and receipt of the initial payment.

3.5 Invoices must be paid within 7 calendar days of the invoice date, unless otherwise agreed in writing.
 

4. Design process and revisions

4.1 KVL Design undertakes to carry out the interior design services as described in the applicable project proposal.

4.2 Additional work, changes or extensions beyond the original scope of the design process will be invoiced separately based on the additional work involved, unless otherwise agreed in writing.

4.3 The design process includes the presentations and feedback moments described in the project proposal. Feedback and refinements to the design are discussed during these moments. Small refinements within each design phase are included. Additional revision rounds, substantial changes to previously presented designs or additions outside the original scope are not included and may result in additional costs.

5. Delivery and execution

5.1 Project coordination, execution planning, site organisation, daily management of contractors and technical execution are not the responsibility of KVL Design, except for any specific coordination or realisation support expressly included in the project proposal.

5.2 KVL Design cannot be held liable for technical execution errors, structural deficiencies or deviations occurring during production or execution by external parties.

5.3 If the Client chooses to work with suppliers or contractors outside the KVL Design network, the design vision and content developed by KVL Design remain the guiding basis for the project.

5.4 Where custom-made furniture, cabinetry or other bespoke elements are included as an additional design service, KVL Design develops the design of the agreed bespoke element to the extent specified in the applicable project proposal. Technical production drawings, structural calculations and production detailing are not included unless expressly agreed in writing. The executing party or furniture maker is responsible for technically developing and checking the design before production or execution.

5.5 Upon delivery of the final design development, KVL Design’s included design services are considered complete, except for any realisation guidance or support specifically included in the project proposal. Further design adjustments or support during execution fall outside the original scope unless otherwise agreed in writing.
 

6. Intellectual property

6.1 All designs, visualisations, presentations, drawings and other materials produced by KVL Design remain the intellectual property of KVL Design.

6.2 The designs and documents provided are intended solely for the agreed project and may not be reproduced, shared, modified or used for other purposes without written permission from KVL Design.

6.3 The Client receives the right to use the final design for the realisation of the agreed project at the specified project location.

7. Liability

7.1 KVL Design cannot be held liable for direct or indirect damage, delays, price changes, delivery problems or shortcomings caused by external suppliers, contractors or other executing parties.

7.2 The Client remains responsible for the final approval of quotations, materials, products, technical developments and orders supplied or prepared by suppliers or executing parties.

7.3 Advice, suppliers and executing parties proposed by KVL Design are provided in good faith and based on professional judgement. KVL Design cannot be held liable for the execution or services provided by third parties.

7.4 KVL Design cannot be held liable for price changes, delivery times, availability or changes to supplier collections after delivery of the final design or after choices have been approved.

8. Portfolio and marketing

8.1 KVL Design may use photographs, videos, visualisations and other design materials created in connection with the project for portfolio, website, social media and other marketing purposes, provided that any required rights and permissions have been obtained.

8.2 KVL Design will not publish identifiable images of the Client or other individuals without the necessary permission. Where project photography or other materials contain personal information or identifiable individuals, KVL Design will take reasonable steps to ensure that the publication complies with applicable privacy and intellectual property laws.

9. Final provisions

9.1 These General Terms & Conditions and the agreement are governed by Dutch law.

9.2 Any disputes will initially be discussed between the parties with the aim of reaching a mutually acceptable resolution.

9.3 Any deviations from the project proposal or these General Terms & Conditions are valid only if agreed in writing.
9.4 Complaints regarding the services provided by KVL Design should be communicated in writing as soon as reasonably possible, allowing KVL Design the opportunity to respond and, where appropriate, address the matter.
